These Terms of Service (the “Terms”) govern your access to and use of the Equera platform. By creating an account or otherwise using the Services, you agree to be bound by these Terms.

1. Scope

Danielle Finch, doing business as Equera (“Equera,” “we,” “us,” or “our”) operates the connectivity platform available at www.equera.ai (the “Platform”). The Platform enables users to upload travel products, distribute and share them with customers, and accept and manage booking requests. These Terms, together with any order forms, pricing schedules, or written agreements (collectively, the “Agreement”), form the entire agreement between you and Equera.

2. Conclusion of User Agreement / Registration

To access the Platform, you must register for an account with accurate and complete information. By registering, you represent and warrant that you are authorized to bind the company or entity you represent. By using the Platform, you accept and agree to these Terms.

3. Scope of Services

Equera provides a cloud-based software-as-a-service (SaaS) platform. Core features include uploading and managing travel products, distributing product information to customers, and accepting and managing booking requests. Equera may modify or improve the Platform over time, provided changes do not materially reduce functionality without notice.

4. Access Credentials

You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify us of any unauthorized access to your account.

5. Service Levels and Availability

Equera will use commercially reasonable efforts to ensure availability of the Platform, excluding scheduled maintenance, force majeure, or issues outside our control. We aim for annual uptime of at least 99%. Support inquiries may be made via the channels provided on our website.

6. Usage Rights

Subject to these Terms and timely payment of fees, Equera grants you a limited, non-exclusive, non-transferable right to use the Platform during the term of the Agreement. You may not reverse engineer, modify, or create derivative works of the Platform; use the Platform to build a competing product; distribute harmful or unlawful content; or resell or sublicense the Platform without prior written consent.

7. Third-Party Components

The Platform may include open-source or third-party software, subject to the respective license terms.

8. Support

Equera provides customer support via email and other designated channels during standard business hours (Monday–Friday, 9 a.m.–6 p.m. EST, excluding U.S. holidays).

9. Customer Obligations

You are responsible for all content uploaded to the Platform and for compliance with applicable laws (including export, data, and consumer protection laws). You must not use the Platform for fraudulent, unlawful, or harmful purposes. You agree to indemnify Equera against claims arising from your misuse of the Platform.

10. Customer Content

You retain ownership of all content you upload. You grant Equera a limited license to store, transmit, and display such content for purposes of providing the Services.

11. Fees and Payment

For the duration of the pilot (September - December 2025), Equera is being offered free of charge to our pilot customers.

Starting January 1, a per booking/travel/day fee will be charged. Fees and billing terms are set out on our website at www.equera.ai/pricing or in a separate order form. Fees are payable in U.S. dollars. Invoices will be sent on a monthly basis, and payments are due within 14 days of invoice unless otherwise agreed. Late payments may result in suspension of access to the Platform.

12. Term and Termination

Agreements may be month-to-month with automatic renewal, or annual subscriptions with automatic renewal (unless terminated at least 30 days before renewal). Either party may terminate for cause if the other materially breaches these Terms and fails to cure within 30 days. Upon termination, your right to use the Platform ceases immediately.

13. Warranty Disclaimer

The Platform is provided “AS IS” and “AS AVAILABLE.” Equera disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or meet your expectations.

14. Limitation of Liability

To the maximum extent permitted by law, Equera’s total liability arising out of or relating to these Terms will not exceed the fees paid by you to Equera in the 12 months preceding the claim. Equera is not liable for indirect, incidental, special, consequential, or punitive damages.

15. Data Protection

Each party will comply with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable for non-U.S. customers. If required, the parties will enter into a Data Processing Agreement. Equera will not access or use customer data except to provide the Services.

16. Confidentiality

Each party agrees to maintain in confidence non-public information received from the other and to use it only for purposes of fulfilling the Agreement.

17. Amendments

We may update these Terms from time to time. We will provide notice of material changes by email or through the Platform. Continued use of the Services after changes take effect constitutes acceptance.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts of laws principles. Any disputes will be resolved exclusively in the state or federal courts located in Delaware.

20. Final Provisions

If any provision is found unenforceable, the remaining provisions will remain in full force. The failure to enforce any right does not constitute a waiver.
